Wizer Beta Features Terms

These Wizer Beta Features Terms (the “Beta Terms”) govern your access to and use of any Beta Features that Wizer Inc. (“Wizer”, “we”, “us” or “our”) makes available to you (“you” or “Customer”). These Beta Terms are incorporated into, and form an integral part of, the Wizer Terms of Service available at https://www.wizer-training.com/agreement (the “Agreement”). Capitalized terms used but not defined in these Beta Terms have the meanings given to them in the Agreement.

By enabling, accessing, or using any Beta Feature, you agree to these Beta Terms. If you do not agree, you must not access or use any Beta Features. To the extent of any conflict or inconsistency between these Beta Terms and the other provisions of the Agreement, solely with respect to the Beta Features, these Beta Terms shall control.

1. Eligibility

Your access to and use of the Beta Features is subject to this Agreement, including all restrictions, acceptable-use requirements, and other obligations that apply to the Services. Wizer may condition access to any Beta Feature on your satisfying eligibility criteria or accepting additional terms and may limit availability to existing Customers.

2. No Support or Maintenance

Wizer is not obligated to provide any maintenance, technical, or other support, updates, upgrades, or bug fixes for Beta Features. The Beta Features are excluded from any Support Services, service levels, uptime commitments, and maintenance obligations that may otherwise apply under the Agreement.

3. Beta Features Ownership

As between the parties, Wizer and its licensors retain all rights, title, and interest in and to the Beta Features, including all intellectual property rights therein. No rights are granted to you in respect of the Beta Features other than the limited, revocable right to access and evaluate them in accordance with the Agreement and these Beta Terms.

4. Feedback

You are encouraged to provide Feedback regarding the Beta Features. Any Feedback shall be treated in accordance with the “Feedback” section of the Agreement, shall be the sole property of Wizer, and may be used by Wizer without restriction and without any obligation or compensation to you.

5. Monitoring

Wizer may monitor and collect information regarding your use of Beta Features and may use such information to evaluate, test, and improve the Beta Features.

6. Beta Features Modification

We reserve the right to modify the Beta Features, at any time in our sole discretion, with or without notice, and without liability to you. You understand and agree that if you use Beta Features after the date on which the Beta Terms have changed, we will treat your continued use as acceptance of the updated terms.

7. Termination

These Beta Terms will apply to Beta Features until the general release of the Beta Features to the public, or their discontinuation. For the avoidance of doubt, making a Beta Feature available to the public for testing (e.g., as an open beta or public preview) does not terminate these Beta Terms. We may terminate, suspend, deny access to or limit your use of the Beta Features at any time in our sole discretion, with or without cause, with or without notice, and without liability to you

8. Warranty Disclaimer

YOU HEREBY ACKNOWLEDGE AND AGREE THAT THE BETA FEATURES ARE PROVIDED BY US ON AN “AS IS” AND AS “AVAILABLE” BASIS, AND YOUR ACCESS TO, PARTICIPATION AND/OR USE OF BETA FEATURES IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, WE DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY, SATISFACTORY QUALITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT ANY OF THE BETA FEATURES WILL MEET YOUR REQUIREMENTS AND/OR THAT THE BETA FEATURES WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE. WE DO NOT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE BETA FEATURES OR THE ACCURACY OF ANY OTHER INFORMATION OBTAINED THROUGH THE BETA FEATURES.

9. Limitation of Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL YOU BE ENTITLED TO RECOVER FROM WIZER ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE, EXEMPLARY, OR SPECIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, REVENUE, DATA, PROFITS, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES) OR DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE BETA FEATURES, REGARDLESS OF THE NATURE OF THE CLAIM, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE ARISING FROM OR RELATING TO THE BETA FEATURES, THESE BETA TERMS, OR THE AGREEMENT, EVEN IF WIZER HAS BEEN INFORMED OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY APPLICABLE LAW, WIZER’S MAXIMUM AGGREGATE LIABILITY TO YOU HEREUNDER SHALL BE LIMITED TO ONE HUNDRED U.S. DOLLARS (US$100). THIS LIMITATION OF LIABILITY IS CUMULATIVE AND NOT PER INCIDENT. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

10. Indemnification

You will defend, indemnify, and hold harmless Wizer Indemnified Parties from and against any claims, damages, losses, and expenses arising out of or relating to your access to or use of the Beta Features or your breach of these Beta Terms, in accordance with, and subject to, the indemnification provisions of the Agreement.

11. Confidentiality

The Beta Features, and their existence, features, and performance, together with any related non-public information, constitute Wizer’s Confidential Information under the Agreement, whether marked as confidential. You shall not disclose any Beta Features or related information to any third party and shall not publish or disclose to any third party the results of any benchmarking, testing, or evaluation of the Beta Features, in each case without Wizer’s prior written consent. The confidentiality provisions of the Agreement apply to the Beta Features and survive in accordance with their terms.

12. Order of Precedence

These Beta Terms supplement, and form part of, the Agreement. Except as expressly modified by these Beta Terms, all terms of the Agreement remain in full force and effect and apply to your use of the Beta Features. In the event of any conflict or inconsistency between these Beta Terms and the other provisions of the Agreement, solely with respect to the Beta Features, these Beta Terms shall control.
